These Terms of Service ("Terms") govern your access to and use of SigScout's websites, products, and services (the "Services"). By using the Services you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
Eligibility and Accounts
- You must be at least 18 and legally able to enter these Terms.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Please notify us promptly of any unauthorized use of your account or security incident.
Subscriptions and Billing
- Some Services require a paid subscription. Fees, billing intervals, and plan limits are shown at checkout or in your order form.
- Unless otherwise stated, subscriptions renew automatically until canceled. You may cancel at the end of the current term.
- Taxes and third-party fees may apply. Payment processing is handled by our payment provider.
- We may change pricing with prior notice; changes take effect in the next billing cycle unless otherwise agreed.
Acceptable Use
- Do not misuse the Services, disrupt their operation, probe security, or access data without permission.
- Do not upload unlawful content or content that infringes others' rights.
- Comply with applicable laws, including data protection, anti-spam, and export controls.
- We may suspend or terminate access for violations.
Your Content
You retain ownership of the data, configurations, and materials you submit to the Services. You grant us a limited, worldwide, non-exclusive license to use that content solely to operate and improve the Services, including hosting, processing, transmitting, and displaying it as needed.
Intellectual Property
The Services, including software, documentation, and branding, are owned by SigScout and its licensors. Except for the rights expressly granted, we reserve all other rights. Do not copy, modify, reverse engineer, or create derivative works of the Services.
Third-Party Services
Use of third-party services or integrations is subject to their own terms and privacy policies. We are not responsible for third-party services and do not guarantee their availability.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use the same degree of care it uses to protect its own confidential information (and at least reasonable care) and will use it only as necessary to perform under these Terms.
Disclaimers
The Services are provided "as is" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
To the maximum extent permitted by law, SigScout will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, even if advised of the possibility. Our aggregate liability for all claims arising out of or related to the Services will not exceed the amounts you paid to SigScout for the Services in the twelve months before the event giving rise to liability.
Indemnification
You will indemnify and hold SigScout and its affiliates harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if your account remains unpaid. Upon termination, your license to use the Services ends, but sections that by their nature should survive will remain in effect.
Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict of law rules. Any dispute will be resolved in the courts located in Delaware, unless the parties agree to another forum or to arbitration where required by law.
Changes
We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use after changes take effect constitutes acceptance.
